777 Partners' bid to buy Everton is still alive, after Farhad Moshiri extended the sales and purchase agreement with the firm until the end of this month.

A statement by the Everton Fan Advisory Board based on communication from interim CEO Colin Chong, has confirmed  a report in The Telegraph that Moshiri is holding the door open for 777 despite the Miami private equity company having failed over the course of eight months to satisfy the Premier League's conditions for approval of the buy-out.

777 Partners co-founders, Josh Wander and Steve Pasko, first struck an agreement to purchase the Anglo-Iranian's 94.1% stake in the Club in mid-September, with a projected timeline of 12 weeks to complete the deal.

However, after the situation dragged into the spring of this year, Moshiri and MSP Sports Capital set a deadline of 15th April for 777 to meet the most onerous of the conditions, namely the repayment of a £158m to MSP, a target they failed to meet.

That deadline was extended for an undisclosed period of time, thought to be a matter of weeks, and though Alan Myers of Sky Sports has tweeted that Moshiri "had some doubts over the deal", it now appears as though Moshiri has set a hard date of 31st May.

Should 777 Partners fail to complete the takeover, Moshiri will "progress alternative scenarios".

Those doubts over the embattled firm's abiity to get the deal over the line remain significant, however, as they grapple with their own financial problems.

Last week, 777 called in crisis management and bankruptcy experts to assist with “various operational challenges”, as they were hit with arguably the most severe of the civil lawsuits against them in the US the form of an allegation of fraud to the tune of $350m from London-based Leadenhall Capital Partners.

n the interim, there have been reports that MSP, who were close to purchasing a 25% stake in Everton last August before the club's primary creditor, Rights & Media Funding, balked at the terms, were exploring fresh takeover proposals.

Sources claim, however, that privately there is little desire on MSP's part to own the Club outright and they may seek, through Evertonian businessmen, Andy Bell and George Downing, other investment partners if they are to proceed with injecting further capital.

If that happens they'll have £150m+ debts to at least four separate creditors, and that's ignoring the £400m they owe their own chairman; Rights & Media Funding (£200m), MSP Sports Capital (£158m), 777 Partners (I've lost count but certainly £200m+) and GDA Luma (£150m).  Surely they need to sell to one of those just to write off a part of the debt.  A new bidder appearing out of nowhere and wanting to buy a club with £700m+ of external loans seems highly unlikely.

So it appears Moshiri is giving 777 partners more time to satisfy conditions and complete the sale.
There must be a reason he seems committed to selling to these. Offered more money?

He'll get fuck all if they go into admin. Shareholders are the lowest priority creditors.

It'll probably turn out that 777 are in Russian money somewhere down the line, so Mosh is probably still using Uzzi protect his money and so will do anything for 777 to get the club

I mean, that's a shocking read. Firstly, Moshiri has given them to the end of the month to do their deal, but that is now a firm date they have to get it done by (he could hardly just abandon it immediately after 8 months) which says Moshiri is also ready to give up on them.

The bit where it says MSP are uninterested in buying is also a shock (though not a surprise), and are instead looking to get more loans for the club instead (and as ESK surmises will likely insist some will go to them, if not all). The report of another lender getting involved is also unbelievable, it will complicate and already awful situation ewven further.

If they're borrowing money on a monthly basis to keep the lights on, how can they afford the interest payments (I assume they'll be large from a distressed debt lender)?

Actually it does make sense - it means that the PL do not get into arguments with clubs over buyers and open themselves to litigation. It leaves the onus on the buy to fulfil all the requirements, just a shame those requirements have been fairly loose in years gone by.
if the criteria for "fit and proper" are objective / measurable when it comes to financial aspects of a club-purchase bid, there's no need to be concerned about litigation.

if the FA concerns are related to non-financial i.e. subjective issues then perhaps a more nuanced approach that withholds approval is appropriate.

I just dunno if both sets of criteria apply, and if they do, if 777 failed on objective or subjective issues, or both. the lack of transparency promotes skepticism all around.

Also if Boehly is still involved with GDA Luma Capital should Everton be even allowed to take a loan in the first place from a company associated with another PL owner?

The important question is a) do they expect the loan to be paid back and b) what will they take as security against non-payment.

If this company like dealing with distressed debt they must have ways of insuring themselves against defaults, worrying times

With them needing to borrow an extra £150M to complete the stadium it's worth remembering back in April 2022 to a great deal of fanfare, EFC announced they had negotiated a fixed cost of £500M to completer the stadium. The cost has now risen to £800M.
