Could they not simply declare it invalid and give RBS the green light to proceed?

they can't declare it invalid, but they are laying the groundwork to over turn it once they get in front the court in Dallas.  They are establishing that the proper jurisdiction is in the UK and not Texas

I would have thought something along those lines would be possible, and Broughton is somewhere waiting with John to sign the papers ASAP, I don't think a board meeting will be needed for it.

Nearly all shareholder agreements and financial agreements have a governing law clause. I cant imagine that RBS allowed agreements to be signed with  anything other than UK law prevailing. So hopefully when the Texas court sees that it should be game over.

It probably relates to the line in the TRO that was crossed out and read.
